Extract of the minutes of a meeting of the Board of Beazley Solutions Limited held at Plantation Place South, 60 Great Tower Street, London; EC3R 5AD on Monday 12 0ctober 2015 at 9.00 a.m.
Appointment of Martin Bride as an authorised legal representative of Beazley Solutions Limlted In France
The Directors noted that Andrew Horton was currently the sole iegal representative of Beazley Solutions Limited (the "Company") in France, and in this capacity he is authorised to represent and act on behalf of the Company in France and abroad. In order to improve efficiency and provide cover for Andrew Horton, it was deemed appropriate that Martin Bride be appointed as an additional legal representative of the Company in France.
After considering and discussing the matter in detail, it was RESOLVED that:
i Martin Bride be appointed as a legal representative in France and abroad with immediate effect and that he may act in this capacity as from the date hereof;
ji each iegai representative be solely authorised to represent, and take any action that he may deem necessary and appropriate on behalf of, the Company in both France and abroad; and
ii) any one director of the Company or the Company Secretary be, and is hereby authorised to execute ali documents and take all necessary and appropriate actions, including, for the avoidance of doubt, instructing advisors, to impiement and register the appointment of Martin Bride as a legal representative of Beazley Solutions in France and, among others, perform any formalities required in this respect.
