L'associé unique, sur la proposition du Président, décide d'affecter le résultat de l'exercice clos le 31 décembre 2020s'élevant a 177.583.517,35 euros de la maniere suivante :

174.954,91 euros est affectée au compte < Autres réserves - Réserves relatives a l'achat d'xuvres originales d'artistes vivants >, dont le montant est porté de 1.375.355,58 euros a 1.550.310,49 euros, en conséquence, le poste

s'éléve ainsi a la somme de 643.199.441,76 euros ; 177.408.562,44 euros, augmenté de la somme de 301.385.437,56 euros prélevée sur le poste < Autres réserves > dont le solde est ainsi réduit de 643.199.441,76 euros a 341.814.004,20 euros, a la distribution d'un dividende de 478.794.000 euros soit 5,97
euros par action.
Conformément aux dispositions légales en vigueur, l'associé unique prend acte qu'il a été procédé, au titre des trois exercices précédents, aux distributions de dividendes suivantes :
Au titre de l'exercice 2019 : versement d'un acompte sur dividende de 2,95 euros par action, décidé par le Président de la Société le 2 août 2019.
Au titre de l'exercice 2018 : néant.
Au titre de l'exercice 2017 : néant.
Par ailleurs l'associé unique prend acte que des distributions exceptionnelles de réserves ont été décidées le 19 août 2019 pour un montant de 6,75 euros par action, le 20 juillet 2018 pour
un montant de 8,71 euros par action et le 25 juillet 2017 pour un montant de 4,86 euros par action.

Il est en tant que de besoin rappelé que Bruno PAVLOVSKY ne percoit pas de rémunération pour l'exercice de ses fonctions mais qu'il a droit au remboursement des frais engagés dans 1'exercice de son mandat sur présentation de justificatifs.

L'associé unique décide de renouveler le mandat de Directeur Général de Monsieur Luc DONY pour une période qui prendra fin a la date a laquelle l'associé unique sera appelé a statuer sur les comptes de 1'exercice clos le 31 décembre 2021.
Monsieur Luc DONY a déclaré accepter le renouvellement de son mandat et n'avoir jamais
fait l'objet d'aucune condamnation pénale ni de sanction civile ou administrative de nature a lui interdire de gérer, administrer ou diriger une personne morale.
Il est en tant que de besoin rappelé que Monsieur Luc DONY ne percoit pas de rémunération pour l'exercice de ses fonctions mais qu'il a droit au remboursement des frais engagés dans 1'exercice de son mandat sur présentation de justificatifs.

L'associé unique prend acte de la démission du co-commissaire aux comptes Deloitte & Associés, et décide de nommer en remplacement le cabinet Ernst & Young Audit, Tour First 1, Place des Saisons, TSA 14444, 92037 Paris- La Défense Cedex, France, en qualité de co commissaire aux comptes, pour la durée restant a courir du mandat de son prédécesseur, soit jusqu'a la date a laquelle l'associé unique sera appelé a statuer sur les comptes de l'exercice clos le 31 décembre 2022

Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time
change your mind and tell us that thereafter you want to receive required notices and disclosures
only in paper format. How you must inform us of your decision to receive future notices and
disclosure in paper format and withdraw your consent to receive notices and disclosures electronically is described below.
Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the
speed at which we can complete certain steps in transactions with you and delivering services to
you because we will need first to send the required notices or disclosures to you in paper format. and then wait until we receive back from you your acknowledgment of your receipt of such
paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to receive required notices and consents electronically from us or to sign electronically documents from us.
All notices and disclosures will be sent to you electronically
Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through the DocuSign system all required notices, disclosures,
authorizations, acknowledgements, and other documents that are required to be provided or made available to you during the course of our relationship with you. To reduce the chance of you inadvertently not receiving any notice or disclosure, we prefer to provide all of the required notices and disclosures to you by the same method and to the same address that you have given us. Thus, you can receive all the disclosures and notices electronically or in paper format through the paper mail delivery system. If you do not agree with this process, please let us know as described below. Please also see the paragraph immediately above that describes the consequences of your electing not to receive delivery of the notices and disclosures electronically from us.

To inform us that you no longer wish to receive future notices and disclosures in electronic format you may:
i. decline to sign a document from within your signing session, and on the subsequent page, select the check-box indicating you wish to withdraw your consent, or you may;
ii. send us an email to charline.taylor@chanel.com and in the body of such request you must
state your email, full name, mailing address, and telephone number. We do not need any other information from you to withdraw consent.. The consequences of your withdrawing consent for online documents will be that transactions may take a longer time to process.
